Lodg.AI Terms of Service
Effective Date: October 27, 2025
1. Acceptance of Terms
These Terms of Service ("Terms") are a binding agreement between Lodg.AI, Inc. ("Lodg.AI," "we," "us," or "our") and the entity or individual using our Services ("Customer," "you," or "your"). By creating an account, clicking "I Agree," or using Lodg.AI's websites, dashboards, APIs, or software (collectively, the "Services"), you agree to these Terms. If you do not agree, you may not use the Services.
If you have a separate Master Services Agreement (MSA) with Lodg.AI, that agreement will govern in the event of a conflict.
2. Description of Services
Lodg.AI provides AI-powered tools for property management, including tenant screening, underwriting automation, rent collection, renewals, and analytics (the "Platform").
We may modify or discontinue the Services, features, or components at any time. Material changes will be communicated through reasonable means such as email or posting to our website.
3. Eligibility and User Responsibilities
3.1 Eligibility
You must be at least 18 years old and authorized to bind your organization.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Enable multi-factor authentication (MFA) where available. Notify us promptly of any unauthorized use.
3.3 Lawful Use
You must use the Services in compliance with all applicable laws, including the Fair Housing Act, Fair Credit Reporting Act (FCRA), anti-discrimination, and data privacy laws. You are solely responsible for compliance in your screening and leasing decisions.
3.4 Prohibited Conduct
You may not:
- • Reverse engineer, copy, or modify the Services
- • Circumvent security measures or access controls
- • Use the Services to discriminate, harass, defraud, or violate law
- • Introduce malware or attempt unauthorized access
4. Data and Privacy
4.1 Customer Data
You own your Customer Data. You grant Lodg.AI a limited, non-exclusive license to host, process, and transmit that data to provide and improve the Services. We may use de-identified or aggregated data for analytics and product improvement.
4.2 Privacy Policy
Use of the Services is governed by our Privacy Policy.
4.3 No CRA Status
Lodg.AI is not a "consumer reporting agency" and does not provide "consumer reports" under the FCRA. Any credit or tenant screening data is furnished by third parties, and you are responsible for FCRA compliance and any adverse action obligations.
4.4 Fair Housing Compliance
You are responsible for ensuring that your use of Lodg.AI's Services complies with all federal, state, and local fair housing and equal opportunity laws.
5. Fees and Payment
5.1 Subscription and Usage Fees
Services may require payment on a subscription or usage basis. Fees are billed through our processor (e.g., Stripe). Unless otherwise stated, all payments are non-refundable.
5.2 Taxes
Prices exclude taxes, which are your responsibility.
5.3 Late Payments
Overdue amounts may accrue interest at 1.5% per month or the maximum allowed by law. Lodg.AI may suspend access for non-payment.
6. Intellectual Property
Lodg.AI retains all rights, title, and interest in its intellectual property, including software, models, documentation, and trademarks. You may not use Lodg.AI marks without written consent.
Feedback or suggestions you provide may be used by Lodg.AI without restriction or obligation.
7. Security and Availability
Lodg.AI implements industry-standard security controls (encryption, RBAC, logging, vulnerability management). However, no system is 100% secure. We are not liable for downtime caused by factors beyond our control.
8. Confidentiality
Both parties may access the other's confidential information. Each will protect it using reasonable care and use it only to fulfill these Terms. Information that is public, independently developed, or rightfully obtained without restriction is not considered confidential.
9. Disclaimer of Warranties
THE SERVICES AND ALL MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." LODG.AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
10. Indemnification
You agree to defend, indemnify, and hold harmless Lodg.AI and its affiliates, officers, and employees from and against any claims, damages, losses, or expenses arising from:
- • Your use of the Services in violation of law or these Terms
- • Your Customer Data or screening decisions
- • Any alleged violation of third-party rights
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
No Indirect Damages
LODG.AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
Aggregate Cap
LODG.AI'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF $500 OR THE FEES PAID BY YOU TO LODG.AI DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Exclusions
These limits do not apply to (a) payment obligations, (b) indemnification, or (c) gross negligence or willful misconduct.
12. Suspension and Termination
12.1 Termination by Lodg.AI
We may, at any time and for any reason or no reason, suspend or terminate your access to the Services, with or without notice. This includes for non-payment, policy violation, risk management, or regulatory considerations.
12.2 Termination by Customer
You may terminate your account by providing written notice to hello@lodg.ai.
12.3 Effect of Termination
Upon termination, your access immediately ceases, and we may delete your account and data in accordance with our retention policy. Prepaid fees are non-refundable unless required by law.
12.4 Survival
Sections 3–11, 13–21 survive termination.
13. Governing Law
These Terms are governed by the laws of the State of California, excluding its conflict-of-law rules. The Federal Arbitration Act (FAA) governs Section 16 (Arbitration).
14. Assignment
You may not assign these Terms without Lodg.AI's consent, except to a successor entity in a merger or acquisition. We may assign these Terms without restriction.
15. Force Majeure
Lodg.AI is not liable for delays or failures due to causes beyond our reasonable control, including internet outages, DDoS attacks, natural disasters, war, or regulatory changes.
16. Arbitration and Waiver of Class Actions
16.1 Agreement to Arbitrate
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (or Consumer Rules, if applicable).
16.2 Location and Governing Law
Arbitration will take place in San Francisco County, California, or virtually, governed by the FAA and California law.
16.3 Individual Proceedings Only
YOU AND LODG.AI AGREE THAT ARBITRATION WILL OCCUR ONLY ON AN INDIVIDUAL BASIS. You waive the right to bring or participate in any class, collective, consolidated, or representative action.
16.4 Small Claims & Injunctive Relief
Either party may bring individual actions in small-claims court or seek temporary injunctive relief in court to protect IP or confidential information pending arbitration.
16.5 Costs
Each party bears its own costs unless the arbitrator awards otherwise under applicable law.
16.6 Opt-Out
You may opt out of this clause within 30 days of first accepting these Terms by emailing legal@lodg.ai with subject line "Arbitration Opt-Out." Include your name, company, and statement opting out of arbitration.
16.7 Waiver of Jury Trial
If arbitration is not enforced, both parties waive the right to a jury trial.
17. Notices
All notices must be sent to legal@lodg.ai and to Lodg.AI, Inc., 548 Market St., Suite 22663, San Francisco, CA 94104. We may send notices to your registered account email.
18. Entire Agreement
These Terms, together with the Privacy Policy and any written Order Form, represent the entire agreement. Any waiver or modification must be in writing and signed by both parties.
19. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or posting in the admin portal. Continued use after such notice constitutes acceptance.
